The oversight
cycle.
Five steps run every year, for every entity — the administrative calendar that keeps the group in standing and the register current.
The administrative
year.
Each step produces a document. Each document lands in one file.
Register review
Officers, members, standing docs and agent-of-record verified for every entity — discrepancies corrected before the year opens.
Meetings & consents
Annual meetings held, minutes recorded, written consents executed and indexed — documented at the time, not after.
Filings & renewals
Annual reports, franchise filings and renewals submitted per jurisdiction — tracked on the group calendar.
Consolidation
Entity accounts reconciled and consolidated to the group level — one reporting package, one consolidation point.
Review & record
Year-end structural review — amendments proposed, the register closed and archived, the next calendar issued.
What the office
believes.
Structure is the product
The group doesn't sell goods — it maintains structures. The quality of the register is the quality of the company.
Silence isn't standing
An entity that "hasn't had a problem" may simply not have been checked — standing is verified, not assumed.
Counsel sees it first
Structural changes go through legal and tax counsel before they happen — the office executes, it doesn't improvise.
One file per entity
All documentation for an entity lives in one place — registers, consents, filings and officer records under a single index.
Boring is good
No surprises in the register, no drama in the filings — the group is built to be unremarkable to auditors.
Access is accountability
Members, counsel and counterparties with legitimate interest get the file — transparency is the structure's job.
Asked of
the office.
Hold, administer and keep the record — registers, calendars, filings, consolidations and officer records for every entity under the group. We don't run the subsidiaries; we keep the structure that makes them legal and legible.
No — the office performs corporate administration and holding functions. Legal, tax and investment decisions go through retained counsel and advisers; we execute and document what they advise.
Members, officers, counsel, auditors and counterparties with a legitimate interest — requests go through the Lehi office and are logged in the register. Sensitive entity files are produced under NDA where applicable.
Administrative-office functions — registers, calendars, filings — can be engaged by affiliated entities. New engagements begin with a written scope through the office; outside engagements are evaluated case by case.
